Meetings are run according to Roberts Rules of Order.  Decision making is by group consensus.&lt;br /&gt;&lt;br /&gt;All members must be Kaua`i residents before and during their terms, and must be cooperative, interested in and supportive of KKCR, Kaua`i Community Radio.&lt;br /&gt;&lt;br /&gt;CAB members shall not be Kekahu Foundation Board members, paid KKCR staff, or regularly scheduled volunteer programmers.  The CAB shall strive to be as independent and objective as possible. &lt;br /&gt;&lt;br /&gt;The board shall strive for balanced representation of Island geography, ethnicity, gender, age…etc.&lt;br /&gt;&lt;br /&gt;Every member must have the ability to attend two (2) regular meetings a year. Meetings are held at different Kaua`i locations around the Island. Attendance is mandatory, except in previously excused justifiable circumstances.  Meetings are scheduled a year ahead at the Spring membership meeting, to be held in March.    &lt;br /&gt;&lt;br /&gt;Any member may be removed, by group consensus, if the member misses more than one meeting during the year, or the member doesn’t demonstrate a willingness to participate in, at least, some other radio station functions during the year, including infrequently held CAB special meetings, membership/pledge drives, fund raisers, 5th Monday CAB broadcasts. &lt;br /&gt;&lt;br /&gt; Members will serve for one year terms, which can be renewed by consensus of the sitting Community Advisory board.&lt;br /&gt;&lt;br /&gt;By group consensus of the sitting CAB, new members will be accepted in the spring of each year, or as necessary to fill vacancies.  Potential new members will be recruited from the existing CAB members, volunteers and members of KKCR, and the public listenership via person to person contacts, announcements on KKCR, in the Garden Island newspaper, the KKCR/CAB website, and any other public media.&lt;br /&gt;&lt;br /&gt;Applicants will be required to fill out a brief form asking their employment experiences, other boards that they have served on, and reason(s) for wanting to become a CAB member. Mickey commented that there should be a way to contact KIUC on weekends or during off hours.&lt;br /&gt;&lt;br /&gt;Nani asked about the station's announcements during the tsunami alert. Larry wondered if staff was called in and if so what their duties were, and noted that emergency response needs to be both balanced and directed.  Fred said that emergency procedures should be discussed at the upcoming programming meeting.&lt;br /&gt;&lt;br /&gt;There was no report on the January 20, 2010 BOD meeting.&lt;br /&gt;&lt;br /&gt;There was discussion of the Fund Fest and the Waimea Town Festival events. Gary noted the importance of having a presence at the Waimea Festival. The sound in the Resort ballroom has been criticized both for the Fund Fest and this season's EKK.&lt;br /&gt;&lt;br /&gt;The Ruby fundraiser turnout was disappointing. That weekend was packed with other events. Mickey feels that the station needs to be selective in planning fundraiser concerts.&lt;br /&gt;&lt;br /&gt;The minutes of the December 2009 meeting were reviewed. Larry moved that the minutes be accepted, seconded by Mickey. Minutes were accepted.&lt;br /&gt;&lt;br /&gt;Fred, Nani, Larry, Paul, Arnold and Mickey wish to continue as CAB members. Election of officers resulted in no candidates for Chair, Mickey will continue as Vice-chair and Paul as Secretary. Fred will contact Mahelani and Steve to see if they wish to continue as members. Fred announced that he received a letter from Joshua Fukino expressing interest, but Joshua was unable to attend this meeting. Gary Hoover was seated as a CAB member. Fred will stay on as Chair through the June 2nd meeting.&lt;br /&gt;&lt;br /&gt;Fred will respond to John Peck's question concerning radiation from the “Missing Link” microwave link.&lt;br /&gt;&lt;br /&gt;There was a discussion of underwriting and specifically Suzanne Woodruff's KIUC letter in the Garden Island.  The impression to listeners is that underwriters support specific programs, and the opportunity for an underwriter to choose to underwrite only programs which they choose were at issue. Fred will research what type of underwriting contracts are legal.&lt;br /&gt;&lt;br /&gt;Fred forwarded a copy of the station’s original application for non-profit status to John Gordon on December 9, 2009. Fred will email copies to all CAB members.&lt;br /&gt;&lt;br /&gt;The next CAB meeting is scheduled for June 2 at Caffe Coco.&lt;br /&gt;A special meeting will be announced to plan revisions to CAB procedures. Fred will book Caffe Coco and email members. Pot luck snacks were shared.  Members present: Fred Dente, Dr. Larry Magnussen, Steve Yoder, Dr. Arnold Nurock, Nani Rogers.  A quorum of 5 was reached.  Excused: Paul Moody, Mickey Sussman, Mahelani Sylva.  Steve Yoder excused retroactively from Aug. 12, 2009 meeting.  Guests: Marj Dente, BOD, Jerry Brockelhurst, GM, Joan Heller, John Peck penetrator@yahoo.com  Bill and Lucia Laidlaw. &lt;br /&gt;It was announced that the new CAB email address is:  cab.kkcr@rocketmail.com &lt;br /&gt;&lt;br /&gt;Public Input:  John Peck, Joan Heller, Bill and Lucia Laidlaw&lt;br /&gt;&lt;br /&gt;Marj gives BOD report from 11/16/09 mtg. and the membership election report.  &lt;br /&gt;&lt;br /&gt;Fred will find the original KF IRS application for 501C-3 status and give it to John Gordon.  Fred reports on the NFCB web seminar (Webinar) he attended.  We’ll address that at the next mtg.  It deals with CAB kuleana, duties, frequency of mtgs., etc.  Fred will email a synopsis before the next CAB meeting.    &lt;br /&gt;Marj reports on the Dec. 18 Election Committee mtg. at Café Coco.&lt;br /&gt; &lt;br /&gt;Jerry reports on the Membership/Fund drive, and the Missing Link Capital Campaign .  We raised approx. $55,000 and added 189 new members.  We need more support from businesses, Wave Riders were more supportive.  We need $33,000 from big/small donors to replace the Time-Warner cable with a dedicated microwave uplink transmitter.  Jerry needs more help to broadcast any more Be Heard town hall meetings.  Someone needs to volunteer to produce.    &lt;br /&gt;&lt;br /&gt;Fred reports on the CAB Mixed Plate 5th Monday radio program of Nov. 30.  Fred, Paul and Arnold participated. Marj Dente offered a pule.  The roll call found a quorum to be present.  Nani moved to accept the minutes of the last meeting, seconded by Mickey.  Acceptance of the minutes was approved.&lt;br /&gt;   Fred announced that Katy Rose and Kimi Sodoyama are no longer able to continue as CAB Members.  Fred read a letter from Katy.  Fred will send letters to both thanking them for their service.  Fred had attended the meeting of Conflict Resolution/Policy and Decision Making group.  Fred announced that Andy Parx's blog had been critical of the KKCR Management.  &lt;br /&gt;   The McMillans who have an interest in becoming involved with KKCR were introduced. Kurtis hopes that the station will feature more local music.  Kaio had met with Jack at the studio and has an interest in having a show.  Jerry explained the training requirement and station values, and said that opportunities for new programs will be coming up.&lt;br /&gt;   Marj discussed the last BOD meeting which was held at the Humane Society, and announced that there would be a Development meeting on August 17 with the goal to raise matching funds for the technical grants.  A memorandum of understanding for remote broadcasts was passed, along with a no talk stink policy.  Marj noted that applicants were sought to be BOD members.&lt;br /&gt;   Fred announced that he and Marj and Katherine and Jerry Brocklehurst met with Michael Titterton of Hawaii Public Radio in Honolulu.  Fred reviewed the past CAB suggestions presented to the BOD.  Marj suggested that Fred research the legal aspect of specifying that our non-profit is a membership organization, as when we applied for 501c3 status.&lt;br /&gt;   In new businesss, Fred reviewed the CPB requirements of the CAB, and there was a discussion of what and how much the CAB should be doing. This discussion will continue at the next meeting.  The CAB will have an hour live on-air show each month in which there are five Mondays, starting August 31.  Jerry noted that he urges talk shows to plan ahead and produce on-air promos.&lt;br /&gt;   Jerry reported on the station's Be Heard project, which focuses on the island economy. There was a discussion by those in attendance at those meetings.  Mahelani Silva led the discussion at the first Be Heard meeting in Waimea.&lt;br /&gt;   Fred opened the meeting for public comment.  Rosa asked how the Strategic Planning meetings regarding Programming would affect her bringing up questions regarding station programming.  There was discussion of the number of hours of service that the station requires of volunteers.  Also, discussion re the CAB possibly sponsoring an annual membership meeting, and dicussion of pot references on a website linked to kkcr.org.  &lt;br /&gt;   Fred asked for CAB recommendations to be presented to the BOD.  There was a discussion of elections to select board members.  This issue will be considered again at the next CAB meeting.  No recommendations were made at this meeting.  Rosa commented that there should be a plan specifying the airtime needed to educate members to vote.  Jerry sent a media announcement of the elections.&lt;br /&gt;The next CAB meeting will be at Waimea NC, December 2. A quorum was in attendance.  The meeting minutes from the February 4, 2009 meeting were reviewed and accepted.&lt;br /&gt;&lt;br /&gt;Fred announced that Larry Lasota and Jimmy Trujillo were the Outreach Committee for the Kekahu Foundation BOD.  Jerry announced that the station had received a grant to study community engagement.  7 CAB members volunteered for the Fund Fest.  Kimie and Mary volunteered to represent KKCR at the Earth Day event.  Fred and Marj and Jerry are working to finalize the founders tribute.   &lt;br /&gt;&lt;br /&gt;Kelly and Mary decided not to continue on the CAB.  Elections were held for CAB officers.  Elected officers for the next year are President:  Fred Dente, Vice-President:  Mickey Sussman, Secretary:  Paul Moody.  &lt;br /&gt;&lt;br /&gt;Kekahu Foundation Board member Marj Dente gave a report on the last board meeting.  There will be four open board positions for the fall 2009 election.  The terms for Marj and Carl Imparato will be ending and there are two currently unfilled positions.  The BOD passed the Strategic Plan and will hold a meeting after May 20 to adjust dates in the timeline.  The BOD also approved a new policy on decision making.  Governance and Outreach committees will be forming soon, and Marj reminded the CAB members that new members are needed for those committees.  The call for volunteer members also went out for the BOD and the CAB, and for Strategic Plan committees.    &lt;br /&gt;&lt;br /&gt;Marj Dente also gave a short report on the NFCB conference which she attended along with Jerry Brocklehurst and Lyn McNutt.&lt;br /&gt;&lt;br /&gt;Fred reported that the BOD received the two CAB recommendations voted on at the last meeting.  The CAB had recommended that 100% of board members be elected by the membership, and that the board help Station Manager Jerry Brocklehurst increase the amount of public affairs programming to 20% of total programming.&lt;br /&gt;&lt;br /&gt;Tek Nickerson was welcomed as a guest to speak to the CAB.  He is a Wailua Homesteads resident and first  began listening to KKCR in 2005.  He said that as a father and a grandfather that he became concerned when he heard that KCC was preparing a facility that would be used as one of the remote studios for KCCR.  Tek said that some music aired on KKCR’s programs was almost a promotion of the use of marijuana, and that there was indecent language and improper sexual references.  This was steering young people toward the wrong life choices, and possible trouble with the law.  Tek felt that KCC should draw the line and not participate with the station.  A discussion followed with CAB members thanking Tek for bringing his comments to us.  Jerry said that there was good progress being made building a culture of mutual respect at the station.  KCC will be responsible for their own programs, but must meet the station’s requirements.  Fred thanked Tek Nickerson again for bringing his views to the CAB and urged him and others to do so in the future.&lt;br /&gt;&lt;br /&gt;Marj asked for help in finding candidates for the BOD, suggestions can be sent to Marj.  She also noted that one of the NFCB workshops had a discussion of IRS applications for non-profit status.  The 501(c)(3) form asks about how the organization is governed.  Fred stated that the Kekahu Foundation’s IRS application states that we are to be governed by a membership elected board, not a self elected board, and that we have been out of compliance since 1996.&lt;br /&gt;&lt;br /&gt;CAB recommendations for the BOD were considered.  It was moved and seconded that the CAB again recommend that 100% of board members be elected by the voting membership.  The motion passed to recommend.  The vote was 4-3.  No other recommendations were brought forward.&lt;br /&gt;&lt;br /&gt;It was decided to schedule the next CAB meeting for July 29. Our next meeting will be on Wed., August 12, 2009, at 6pm  in the Craft Room at the Kapa`a Neighborhood Center.  I had to change the meeting date twice due to conflicts, and the unavailability of  meeting rooms.  Perhaps, someone of us will offer their hale for the next mtg?&lt;br /&gt;In the mean time, please try to recruit folks for the one available Board of Directors position to be elected by the membership, and more community members for the CAB.     &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;There will be a potluck BBQ on Sunday, July 19 from 3 to 5 at KKCR.  We'll all help replace the tarp over the outside lounge area, which shouldn't take long.  Then, we'll eat and hang with each other.  It will be a great opportunity to communicate with the staff, the Board, Volunteers, CAB members and Friends in a relaxed and fun atmosphere. Many Blessings and Aloha to you,  fred&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;&lt;br /&gt; &lt;br /&gt;                   &lt;br /&gt;&lt;br /&gt;&lt;br /&gt; &lt;br /&gt;&lt;br /&gt;MEMORANDUM OF UNDERSTANDING&lt;br /&gt;&lt;br /&gt; &lt;br /&gt;            This Memorandum of Understanding is made by and between Kekahu Foundation, Inc., licensee of noncommercial educational FM station KKCR, Hanalei, Hawaii (“KKCR” or “the Station”), and&lt;br /&gt;&lt;br /&gt;_____________________________________________________________&lt;br /&gt;&lt;br /&gt;_____________________________________________________________&lt;br /&gt;&lt;br /&gt;(the “Programmer”), collectively here, the Parties.&lt;br /&gt;&lt;br /&gt;            WHEREAS, the Station is in process of developing a system of “distributed broadcasting” whereby several programmers may contribute regular or occasional program feeds from remote locations; and&lt;br /&gt;&lt;br /&gt;            WHEREAS the Programmer is in process of developing an origination site for this purpose; and&lt;br /&gt;&lt;br /&gt;            WHEREAS the Parties wish to clarify their respective rights and responsibilities under this project.&lt;br /&gt;&lt;br /&gt;            The Parties THEREFORE AGREE as follows --&lt;br /&gt;&lt;br /&gt;            1.            Programmer understands and agrees that KKCR is a radio station licensed by the Federal Communications Commission, and that the Station had the responsibility to program the station as it sees fit in the public interest, including the selection of programs and the right to broadcast or not broadcast any program or program segment.&lt;br /&gt;&lt;br /&gt;            2.            Programmer understands and agrees that the Station also is subject to certain FCC program content rules, including but not limited to rules regarding underwriter announcements, indecency, political broadcasting, copyright, and others.  Programmer will undertake reasonable efforts not to furnish any program that it knows or should know would be in violation of FCC rules or policies.&lt;br /&gt;&lt;br /&gt;            3.            The Parties understand and agree that the Station’s broadcasts also will be streamed on the internet.  The Parties will cooperate with one another to secure all necessary rights and clearances for such streaming.&lt;br /&gt;&lt;br /&gt;            4.            By furnishing programs, programs segments or material to be used in segments, Programmer agrees that it is furnishing to the Station a non-exclusive, world-wide copyright in all such material.  In case of any secondary re-use of such programs, beyond the initial broadcast and streaming, the Parties agree to cooperate with one another, to notify the other Party and to make appropriate acknowledgement of creative contributions.&lt;br /&gt;&lt;br /&gt;            5.            While this MOU is in effect: The Station agrees to maintain broadcast errors and omissions insurance, with customary limits for small stand-alone public radio stations.  The Programmer agrees to maintain premises liability insurance for persons visiting or working at the origination point.&lt;br /&gt;&lt;br /&gt;            6.            The Parties to date have not made any plans for a Party to pay another Party for activities under this project.  The Parties agree to cooperate with one another in gathering and preparing information in support of any application that either Party may make for foundation grants or government assistance with respect to any aspect of this project.&lt;br /&gt;&lt;br /&gt;            7.            Either Party may terminate its part of this MOU by giving thirty days’ advance written notice to the other Party.  This MOU may be amended only by a writing signed by both Parties.&lt;br /&gt;&lt;br /&gt;            8.            The Parties understand and agree that this MOU is between the Station and the Programmer. I attended the Annual Mtg. of the Board of Directors (BOD) at Malama Kaua`i on Wed., Nov. 12, 2008. Also present from the Community Advisory Board (CAB) were Mickey, Arnold and Jimmy T and Mary. Good CAB representation. I gave the CAB report, which included the 3 recommendations from our Sept. 25 mtg. Following are some notes from my presentation, from the mtg. in general, and from other happenings. Mahalo Nui, fred&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;1. After many years of not including the CAB report and Public Input in the regular BOD agenda items, those 2 sections are now part of the agenda, thanks to Chairperson John Gordon. CAB minutes from our 9/25/08 mtg. are attached for additions/corrections. Please send any input to me ASAP. Mahalo to Mary for taking and transcribing the minutes.&lt;br /&gt;Our next CAB mtg. is yet to be announced for sometime in Jan, 2009, as we are waiting for the Strategic Plan team and the BOD to schedule their meetings first. I have made a decision that the Public Input section of the CAB meetings will be at the top of the agenda, right after Pule and Roll Call. That is the essence of our kuleana and we want to make sure that we focus on the community concerns. We will reserve the last hour of our meetings for housekeeping agenda items and our recommendations to the BOD. If anyone disagrees with my decision, please let's discuss it ASAP.&lt;br /&gt;&lt;br /&gt;2.  THE KEKAHU FOUNDATION/KKCR membership successfully held its first ever membership election of a board member, and elected JimmyTrujillo to the Board of Directors for a 3 year term. Jimmy is a Community Advisory Board member, a programmer, a teacher, a musician, a Husband, a Father and an all around great guy!  Congratulations Jimmy!  After a 15 year adolescence, the Kauai community, which KKCR serves as stated in its mission statement, has made it clear that the KF BOD must be democratically elected.  Some of us have been working for many years to see the process of restoring democracy to the membership begin to happen.  We're very proud to have you represent the membership vote.  Thanks for your commitment Jimmy!    &lt;br /&gt;   Underwriter, programmer and former CAB president Steve Thatcher was selected by the BOD to continue in his own seat for a 3 year term.  He's another all around great person and community activist.  Mahalo Steve!  The third person on the ballot  pulled her name out of the process.  The remaining  2 vacancies will be deferred until the next BOD meeting, yet to be announced.  Next year the membership will get to vote for a second BOD member. &lt;br /&gt;   A tremendous amount of work and meetings and volunteer hours went into making this first election happen.  Next year should require much less work, and we will have an entire year to search for more qualified community members to volunteer for this most important job, as well as to encourage even more participation.  And, our new station manager Jerry Brocklehurst now has a somewhat democratically elected community radio station board to represent in grant applications as well as fund and endowment raising!! &lt;br /&gt;   Gratitude for everyone's attitude to make it happen, especially the Governance and Election committees.  Open the attachment to see the detailed Election Report, put together by board Chair John Gordon.&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;3.  After many hours of Strategic Planning Team meetings, Roxanne is putting together a draft presentation of all the good work that was done, for a public meeting.  If there is any more input for the plan, that will be the time for it.  For those of us attending, it was a truly amazing overall process of discovering all of our possibilities and concerns and future plans in a form we can use to become more efficient, more just, more relevant, and hopefully more financially grounded.  It was also a great opportunity for old wounds and differences to be given attention, and for healing and togetherness to happen.  I wish we could have had a process like this in the beginning, we might have avoided a lot of unnecessary turmoil and wasted time.  Looking ahead, it has been a great part of our growth process for the 5 year future and beyond.&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;4.  Our new Station Mgr. Jerry Brocklehurst. reported that the KeKula School of Kekaha will broadcast a radio magazine program starting sometime in Dec., in both Hawaiian and English language.  The school has a great new recording facility and our signal will reach to Ni`ihau.  Thanks for making it happen, Jerry.&lt;br /&gt;   Mahelani Sylva, CAB member and program host of Na Leo Hawaiian Issues, is a very dedicated community activist.  She has recently made a proposal to the Boys and Girls Club of Kaua`i to help mentor island youth by using her program as a training ground.  In her proposal, she said: "...it has been one of my goals to provide an opportunity for our local youth to be more involved with KKCR, Kaua`i Community Radio. As a media source, radio can provide an opportunity for our youth to develop an understanding of themselves in relationship to the world around them...To facilitate this project, I would like to offer one of my shows a month as well my services as a remote technician until the staff members and youth of the Boys &amp; Girls Club of Kauai in conjunction with the YWCA have gained sufficient knowledge and experience as well as designated airtime to have a program of your own... Thank you Mahe for your dedication.  We hope this proposal becomes a reality.  I know that Butch and the Kekahu Family would be very happy about these great initiatives in outreach and diversity and support of the Hawaiian and local culture.&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;5.  The membership/fund drive has ended, falling short of meeting the original goal of $75,000.  The revised goal of $60,000 was surpassed by $60.  New memberships were over 130.  We're going to lose a lot of CPB grant funding for the coming year.  The Strategic Plan team is addressing these serious financial issues, and now we'll be able to focus and work toward alternative funding solutions.  Jerry has already been researching other grant opportunities.  One thing is for sure, we will all be tightening our belts and getting more creative to help become more sustainable.&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;6.   As you know, there will be a thank you party for Gwen at Malama Kaua`i on Saturday, Nov. 22, 2008 from 5-8pm.  Please call Marj at 823-8162 to volunteer to help if you can, and please come to the party. It agreed to seat the candidate who receives the highest vote in a 2008 election process, subject to the condition that at least 15% of the members of the Kekahu Foundation participated in the election.  The Board also established an Election Committee, comprising at least three Directors and at least one other person, to implement the trial program.&lt;br /&gt;&lt;br /&gt;&lt;br /&gt;Update&lt;br /&gt;&lt;br /&gt;The first election process was successfully conducted this summer and fall.&lt;br /&gt;• Six candidates submitted the required applications by the September 5 deadline.  Of these, three applicants withdrew prior to the start of the election period (early October).  One applicant withdrew because he was selected to become the new KKCR station manager, and two applicants withdrew because of other commitments or lack of interest.&lt;br /&gt;• The three candidates on the final ballot were Connie Fairbanks, Steve Thatcher and Jimmy Trujillo.&lt;br /&gt;• 1,071 ballots were sent to members.&lt;br /&gt;• 178 valid ballots were returned by the November 4 deadline (2 additional ballots were deemed invalid because they were received after the deadline).  The number of returned ballots equals 17% of the ballots sent to members.  &lt;br /&gt;• Ballots were counted on November 5 at the offices of, and with the oversight of, the Kauai Planning and Action Alliance.  The greatest number of votes was received by Jimmy Trujillo.&lt;br /&gt;The Election Committee plans to analyze the returned ballots to determine the returns by individual Kauai communities, the other Hawaiian islands, California, and the rest of the mainland.  To help in the scheduling of public service announcements for the 2009 election, the Election Committee also plans to analyze the returns to determine when (during the one-month election period) voters mailed in their ballots.&lt;br /&gt;&lt;br /&gt;The January 10, 2008 cost estimate for conducting the 2008 election was $455.   The actual cost was $453.  &lt;br /&gt;&lt;br /&gt;&lt;br /&gt;Next Steps&lt;br /&gt;&lt;br /&gt;1.  There are currently 4 vacancies on the Board (3 full-term vacancies and the partial-term vacancy created by Rita Peeters’ resignation earlier this year).  &lt;br /&gt;(a) Member participation in the election exceeded the required 15%.  Therefore, the Election Committee recommends that the Board seat, for a three-year term, Jimmy Trujillo, the candidate who received the greatest number of votes. &lt;br /&gt;(b) Pursuant to the rules of the agreed-upon election process, the remaining Board vacancies should be filled from the list of the remaining candidates who participated in the election process.  At this time there is only one such candidate (Steve Thatcher), as the other candidate (Connie Fairbanks) has withdrawn due to personal commitments.  Therefore, the Election Committee recommends that the Board consider seating Steve Thatcher for a three-year term.&lt;br /&gt;(c) Two Board vacancies (for a three-year term and for a one-year term) will still remain after (a) and (b) above.  The Election Committee notes that the Board can fill these vacancies at such time, and using such process, that the Board feels is appropriate.&lt;br /&gt;&lt;br /&gt;2. The Election Committee requests that the Board include in the 2008-2009 budget $500 to conduct the 2009 election.&lt;br /&gt;&lt;br /&gt;3.   Pursuant to the January 16, 2008 Board resolution, the Board must establish, at some time prior to the start of the 2009 election process, the member participation criterion that will be used for the 2009 election.  After the 2009 election, the Board must decide whether to make the election process permanent and/or how to modify the process.
