KEKAHU FOUNDATION/KKCR COMMUNITY ADVISORY BOARD
GOVERNANCE AND REQUIREMENTS FOR MEMBERSHIP


There shall be a minimum of five (5) and a maximum of seven (9) members on the Community Advisory Board (CAB).

A quorum shall consist of three (3) members. Meetings are run according to Roberts Rules of Order. Decision making is by group consensus.

All members must be Kaua`i residents before and during their terms, and must be cooperative, interested in and supportive of KKCR, Kaua`i Community Radio.

CAB members shall not be Kekahu Foundation Board members, paid KKCR staff, or regularly scheduled volunteer programmers. The CAB shall strive to be as independent and objective as possible.

The board shall strive for balanced representation of Island geography, ethnicity, gender, age…etc.

Every member must have the ability to attend two (2) regular meetings a year. Meetings are held at different Kaua`i locations around the Island. Attendance is mandatory, except in previously excused justifiable circumstances. Meetings are scheduled a year ahead at the Spring membership meeting, to be held in March.

Any member may be removed, by group consensus, if the member misses more than one meeting during the year, or the member doesn’t demonstrate a willingness to participate in, at least, some other radio station functions during the year, including infrequently held CAB special meetings, membership/pledge drives, fund raisers, 5th Monday CAB broadcasts.

Members will serve for one year terms, which can be renewed by consensus of the sitting Community Advisory board.

By group consensus of the sitting CAB, new members will be accepted in the spring of each year, or as necessary to fill vacancies. Potential new members will be recruited from the existing CAB members, volunteers and members of KKCR, and the public listenership via person to person contacts, announcements on KKCR, in the Garden Island newspaper, the KKCR/CAB website, and any other public media.

Applicants will be required to fill out a brief form asking their employment experiences, other boards that they have served on, and reason(s) for wanting to become a CAB member. In addition, the application form will include a brief job description for the position.

Any member will be required to dismiss him/herelf from discussion or voting on any issue, should it be considered a conflict of interest.



Note: Consensus decision-making is a group decision making process that not only seeks the agreement of most participants, but also the resolution or mitigation of minority objections.

THE COMMUNITY ADVISORY BOARD OF THE KEKAHU FOUNDATION/KKCR IS SEEKING NEW MEMBERS

Since part of KKCR's funding comes from the Corporation for Public Broadcasting, a Community Advisory Board (CAB) must be formed and maintained, which shall act in an advisory capacity to the to Kekahu Foundation (KF) Board of Directors in matters related to the governance, activities and policies of the organization. This includes:

1. To meet on a regular basis (currently meetings are 2 times a year), alternating at locations around the Island, and to attend various other radio station functions during the year, including the CAB 5th Monday radio programs.

2. The composition of the CAB seeks to represent the diverse needs and interests of the communities served by KKCR.

3. To Review the programming, goals, community service, governance and significant policies and decisions rendered by KF/KKCR management.

4. To make recommendations to and advise the Kekahu Foundation as to whether the programming, goals, community service, governance and significant policies and decisions are meeting the specialized educational and cultural needs of the communities served by the station, as determined by the Community Advisory Board.

5. The CAB has no authority to exercise any control over the daily management or operation of KKCR.

(CAB). The Kekahu Foundation (KF) is a non-profit corporation established under the laws of the State of Hawai`i for the purpose of establishing and developing a community based group for the purpose of instruction in, and dissemination of educational and cultural material in the public interest including, but not limited to, the use of a radio station (KKCR) located in the County of Kaua`i. The CAB is mandated by the Corp. For Public Broadcasting to review the programming, significant decisions, policies and services of the Kekahu Foundation/KKCR, and to make advisory recommendations to the governing Board of Directors.

CAB members shall be Kaua`i residents at the time they become members, and throughout their term of membership. Members shall serve for one year and are expected to attend two( 2) regular meetings a year, and to support other Kekahu Foundation and KKCR functions.

CAB Meeting Minutes 3/10/10

March 10, 2010 Kapa'a Neighborhood Center

Attending: Fred Dente, Larry Magnussen, Paul Moody, Arnold Nurock, Puanani Rogers, Mickey Sussman Guest: Gary Hoover Absent: Mahelani Silva, Steve Yoder

Fred called the meeting to order at 6:36PM with a quorum present, and offered the pule.

Fred noted that there was an announcement in December from NFCB for a Public Affairs and News grant opportunity, but that the March 1 deadline had now passed.

Gary said it is frustrating that the KAQA is down so often. Mickey commented that there should be a way to contact KIUC on weekends or during off hours.

Nani asked about the station's announcements during the tsunami alert. Larry wondered if staff was called in and if so what their duties were, and noted that emergency response needs to be both balanced and directed. Fred said that emergency procedures should be discussed at the upcoming programming meeting.

There was no report on the January 20, 2010 BOD meeting.

There was discussion of the Fund Fest and the Waimea Town Festival events. Gary noted the importance of having a presence at the Waimea Festival. The sound in the Resort ballroom has been criticized both for the Fund Fest and this season's EKK.

The Ruby fundraiser turnout was disappointing. That weekend was packed with other events. Mickey feels that the station needs to be selective in planning fundraiser concerts.

The minutes of the December 2009 meeting were reviewed. Larry moved that the minutes be accepted, seconded by Mickey. Minutes were accepted.

Fred, Nani, Larry, Paul, Arnold and Mickey wish to continue as CAB members. Election of officers resulted in no candidates for Chair, Mickey will continue as Vice-chair and Paul as Secretary. Fred will contact Mahelani and Steve to see if they wish to continue as members. Fred announced that he received a letter from Joshua Fukino expressing interest, but Joshua was unable to attend this meeting. Gary Hoover was seated as a CAB member. Fred will stay on as Chair through the June 2nd meeting.

Fred will respond to John Peck's question concerning radiation from the “Missing Link” microwave link.

There was a discussion of underwriting and specifically Suzanne Woodruff's KIUC letter in the Garden Island. The impression to listeners is that underwriters support specific programs, and the opportunity for an underwriter to choose to underwrite only programs which they choose were at issue. Fred will research what type of underwriting contracts are legal.

Fred forwarded a copy of the station’s original application for non-profit status to John Gordon on December 9, 2009. Fred will email copies to all CAB members.

The next CAB meeting is scheduled for June 2 at Caffe Coco.
A special meeting will be announced to plan revisions to CAB procedures. Fred will book Caffe Coco and email members. Gary wondered if we could have our official meeting on air.

Discussion of a suggestion that the CAB organize and produce an annual meeting was deferred.

Discussion of a suggestion that the CAB facilitate the Be Heard Meetings was deferred.

Paul will record a PSA for our Fifth Monday CAB program on March 29.

There are no new CAB recommendations for the BOD.

MEETING MINUTES December 2, 2009 – WAIMEA NEIGHBORHOOD CENTER

The KEKAHU FOUNDATION Community Advisory Board held a meeting at the Waimea Neighborhood Center on Dec. 2, 2009
Chairperson Fred Dente called the meeting to order at 6:35. Pot luck snacks were shared. Members present: Fred Dente, Dr. Larry Magnussen, Steve Yoder, Dr. Arnold Nurock, Nani Rogers. A quorum of 5 was reached. Excused: Paul Moody, Mickey Sussman, Mahelani Sylva. Steve Yoder excused retroactively from Aug. 12, 2009 meeting. Guests: Marj Dente, BOD, Jerry Brockelhurst, GM, Joan Heller, John Peck penetrator@yahoo.com Bill and Lucia Laidlaw.

Marj gives BOD report from 11/16/09 mtg. and the membership election report.

Fred will find the original KF IRS application for 501C-3 status and give it to John Gordon. Fred reports on the NFCB web seminar (Webinar) he attended. We’ll address that at the next mtg. It deals with CAB kuleana, duties, frequency of mtgs., etc. Fred will email a synopsis before the next CAB meeting.
Marj reports on the Dec. 18 Election Committee mtg. at Café Coco.

Jerry reports on the Membership/Fund drive, and the Missing Link Capital Campaign . We raised approx. $55,000 and added 189 new members. We need more support from businesses, Wave Riders were more supportive. We need $33,000 from big/small donors to replace the Time-Warner cable with a dedicated microwave uplink transmitter. Jerry needs more help to broadcast any more Be Heard town hall meetings. Someone needs to volunteer to produce.

Fred reports on the CAB Mixed Plate 5th Monday radio program of Nov. 30. Fred, Paul and Arnold participated. The next (3rd) one will be March 29 @5pm.

CAB votes 4-1 to thank the BOD for holding the last 2 elections, and to recommend that we continue in the future.

Our next meeting date was set for Wed., March 3, 2010, at an Eastside location, TBA. The meeting was adjourned at 8:32 p.m. Minutes taken by Dr. Larry Magnusson
